Software License Agreement

The terms under which Memberium is licensed to you. Memberium is licensed, not sold.

This Software License Agreement (“License,” “Agreement”) is a legal agreement between you (“Licensee,” “you”) and Web Power & Light, LLC (“WP&L,” “Company,” “Licensor,” “us,” or “we”) for the Memberium software plugin and related files (collectively, the “Software”). Memberium® is a trademark of Web Power & Light, LLC.

By downloading, installing, activating, or using the Software — including any evaluation, trial, or paid copy — you agree to be bound by this License. If you do not agree, do not install or use the Software. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

This License works together with our Terms & Conditions, Privacy Policy, and Earnings Disclaimer, each of which is incorporated by reference. Capitalized terms used here without definition have the meaning given in the Terms.

1. Grant of License

Subject to your continuous compliance with this License and your payment of the applicable fees, WP&L grants you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide license to install, run, and use the Software in object and source code form on the number of WordPress sites and for the edition you have purchased, as described on the applicable product and pricing pages (the “Permitted Use”).

The specific scope of your license — including the edition, number of sites, support level, and renewal term — is determined by the product you purchase through the Site and is shown at /#pricing and on your order record. If you are unsure of your license scope, contact support@getmemberium.com.

2. Permitted Use

Under your license you may:

  • install and activate the Software on the number of production WordPress sites covered by your plan;
  • install the Software on a reasonable number of local, staging, or development environments for the purpose of developing, testing, or customizing the production sites covered by your plan; and
  • make a reasonable number of backup copies of the Software solely for archival and restore purposes.

3. Restrictions

You may not, and may not permit any third party to:

  • sublicense, sell, rent, lease, lend, distribute, assign, or otherwise transfer the Software, in whole or in part, to any third party, except as part of a permitted site transfer under Section 4;
  • use the Software on more production sites than your plan permits, or otherwise exceed the Permitted Use;
  • use the Software to provide a competing product or service, or reverse engineer, decompile, or disassemble the Software except to the limited extent that applicable law expressly prohibits this restriction;
  • modify, adapt, translate, create derivative works of, or alter the Software, in whole or in part;
  • remove, alter, or obscure any copyright, trademark, or other proprietary-rights notice in the Software;
  • use the Software in violation of any applicable law or in a manner that infringes the rights of any third party; or
  • use the Software on a WordPress Multisite network installation in a manner that exceeds the total number of sites covered by your plan.

4. Site Transfers

If you sell or otherwise transfer a WordPress site on which the Software is installed to a third party, you may assign the license for that site to the new owner, provided that (i) the new owner agrees to be bound by this License, (ii) the transfer does not increase the total number of sites on which the Software is activated under your license, and (iii) you notify us of the transfer so we can update our records.

5. Ownership

The Software is licensed, not sold. WP&L and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. Except for the express license granted in Section 1, no rights are granted to you, whether by implication, estoppel, or otherwise.

6. License Term, Renewals & Support

Licenses are sold on either a monthly or an annual term, depending on the plan you select at purchase. Each billing cycle of your license includes Software updates and access to support for the duration of the term. At the end of each billing cycle, your license automatically renews through our Merchant of Record (LemonSqueezy) unless you cancel renewal before the renewal date.

If you choose not to renew, the Software will continue to operate on your already-installed sites under the version in place at the time your license lapsed, but you will no longer receive updates or support, and your license will be considered lapsed. A lapsed license remains subject to this Agreement, including the Restrictions in Section 3.

Support is provided for the unmodified Software only. If you modify the Software or any portion of it, WP&L may, at its sole discretion, decline to provide support for the affected installation or require you to restore the Software to its unmodified state as a condition of receiving support. Modifications do not terminate your license, but they may affect your eligibility for updates and support.

Refund and cancellation terms are governed by the Terms & Conditions.

7. Third-Party Components

The Software may include or be distributed together with third-party open-source or commercial components. Each such component remains the property of its respective owner and is governed by the license under which it is distributed. Nothing in this License restricts rights granted to you under those third-party licenses.

8. WordPress Compatibility

The Software is designed to operate as a plugin for WordPress. WordPress is licensed under the GPL. The Software is an original, standalone work of authorship that is not a derivative work of WordPress and is not itself licensed under the GPL. The Software interoperates with WordPress through WordPress’s application programming interfaces (APIs); this use does not make the Software a derivative work of WordPress or subject it to the GPL. The Software contains no GPL-licensed code. Third-party components bundled with the Software, if any, are governed by their respective licenses as described in Section 7.

9. Updates & New Versions

WP&L may release updates, upgrades, or new versions of the Software from time to time. We are not obligated to provide any specific update, and may change feature availability, system requirements, or edition scope between versions. You are not required to install any update, but we may cease supporting older versions at our discretion.

10. Termination

This License and your rights under it terminate automatically if you fail to comply with any term of this License or the Terms. Upon termination you must, within seven (7) days, cease all use of the Software and permanently delete or destroy all copies of the Software in your possession or control, except for copies installed on live customer sites that you are operationally unable to remove, in which case you must not deploy the Software on any new site. Sections 3 (Restrictions), 5 (Ownership), and 11–15 survive termination.

11. Disclaimer of Warranties

The Software is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, WP&L disclaims all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. See Section 9 of the Terms & Conditions for the full disclaimer, which is incorporated here by reference.

12. Limitation of Liability

To the fullest extent permitted by applicable law, WP&L’s total liability arising out of or relating to this License, the Software, or the Site shall be limited as described in Section 10 of the Terms & Conditions, which is incorporated here by reference. In no event shall WP&L be liable for any indirect, incidental, special, consequential, or punitive damages.

13. Governing Law & Venue

This License is governed by the laws of the Commonwealth of Pennsylvania and the United States, without regard to conflict-of-law principles. See Section 13 of the Terms & Conditions for venue and dispute-resolution terms, which apply equally to this License.

14. Changes to This License

We may revise this License from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide notice through the Site, by email, or within the Software itself. Your continued use of the Software after the effective date of any revision constitutes your acceptance of the revised License. If you do not agree, you may request a refund within the 30-day window described in the Terms, and otherwise should cease using the Software.

15. Business-Continuity Notice

The Memberium Software was previously licensed by Castle Mountain Limited under a separate license arrangement. Web Power & Light, LLC is a distinct legal entity. Licenses for the Software purchased before August 1, 2026 were issued by Castle Mountain Limited and remain governed by the license agreement in force at the time of purchase. WP&L may, at its sole discretion, honor continuing updates and support for former Castle Mountain customers on equivalent terms, but is not obligated to do so.

Effective date: This Software License Agreement is effective as of August 1, 2026, and applies to licenses for the Software purchased through the Site on or after that date. License terms published at memberium.com before this date were issued by Castle Mountain Limited under a separate license arrangement and do not bind Web Power & Light, LLC.
